Terms of Service

Acceptance of Terms
By accessing or using the Soefia Education Inc. (“Soefia”, “we”, “our”, or “us”) platform and services (collectively, the “Services”), you (“you”, “user”) agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of a school, district or other organization, including as an employee or student, that has signed a contract with Soefia, you are bound by the terms of that contract to the extent that they apply to you (“Contracted Terms”), and if any such Contracted Terms differ from the Terms, the Contracted Terms shall apply. If you do not agree to these Terms, or any such Contracted Terms, you may not access or use the Services.
Eligibility and Authority
You must be at least 13 years old to use the Services. If you are using the Services on behalf of a school, district, or other organization, you represent that you are authorized to accept these Terms.
Privacy and Data Practices
Your use of the Services is also governed by our Privacy Policy. Soefia is committed to protecting your privacy and complying with applicable laws, including the Family Educational Rights and Privacy Act (FERPA). Personally identifiable information of students is only used to provide and improve our Services and is not sold or disclosed to third parties except as required to provide the Services or by law or as otherwise specified in any Contracted Terms. When acting on behalf of a school, district or other organization implicated under FERPA (“Organization”), Soefia acts as a ‘school official’ under FERPA at the direction of Organization. The Organization remains responsible for compliance with FERPA, COPPA, and all applicable student data privacy laws.
Artificial Intelligence and Automated Features
Some features in the Services use artificial intelligence (“AI”) to support teaching and learning. These features may include lesson content, automated feedback of all kinds, lesson summaries, and agentic interactive behavior, including “chatting”, whether through text or speech, with users. AI may make mistakes, may not operate as intended, and may produce unintended, unexpected and inappropriate outputs, including hallucinations (collectively “Mistakes”), and by using the Services you explicitly acknowledge that AI may make such Mistakes, that such Mistakes may therefore be incorporated in the Services, and you assume the risk therefore and acknowledge and agree that you remain responsible for independently verifying any educational or factual information provided by the Services. You acknowledge and agree that Soefia’s AI is a tool to assist—not replace—educational decision-making or human judgment.
Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law or regulation;
- Upload or transmit any viruses or malicious code;
- Reverse engineer, decompile, or circumvent any security features;
- Use the service to build competing products;
- Benchmark performance or output in any way without our explicit permission;
- Interfere with normal use by others;
- Attempt to gain unauthorized access of any kind to Soefia’s systems; or
- Use the Services to harass, threaten, or infringe on the rights of others, including in violation of any law or regulation.
User Feedback and Content
- You may provide us feedback, suggestions, or other user information (“Feedback”) in conjunction with your use of the Services. All such Feedback is the exclusive property of Soefia, and we shall be entitled to use the same for any purpose (or refrain therefrom, in our sole discretion), including explicitly for the improvement of the Services, without restriction or compensation to you. Your warrant that your Feedback is not subject to any license terms that would purport to require us to comply with any additional obligations with respect to our use of the Feedback.
- You may also provide educational content to us in conjunction with your use of the Services. You represent and warrant that you have rights to provide such content, and you agree to indemnify Soefia for any claim that the content you provide infringes third-party rights. By providing this content, you also grant us a non-exclusive, worldwide, royalty-free license to use that content to improve the Services. You retain ownership of any educational content that you have provided.
Intellectual Property
All content, code, and technology used to deliver the Services are the property of Soefia and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for educational purposes only, including subject to any limitations contained within any Contracted Terms. Except as expressly provided herein, no rights are granted to users, and all rights not expressly granted remain with Soefia.
Disclaimers
- THE SERVICE IS PROVIDED “AS IS,” AND SOEFIA DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITATION OF THE FOREGOING, THE COMPANY EXPRESSLY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE SECURE, UNINTERRUPTED OR ERROR FREE. YOU ASSUME RESPONSIBILITY FOR USING THE SERVICE TO EVALUATE OR ACHIEVE ITS INTENDED RESULTS, AND ANY USE OF THE SERVICE IS AT YOUR OWN RISK. Soefia does not warrant or represent that the Services will improve student learning outcomes, academic achievement, test scores, or compliance with curriculum, accreditation, or regulatory standards. You acknowledge that the Services are intended as tools to assist educators and not substitutes for their professional judgment.
- YOU ARE ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR ANY THIRD-PARTY INTEGRATIONS THAT YOU MAKE INTO THE SERVICES, INCLUDING ANY LOSS OF DATA RESULTING THEREFROM. Soefia may change the Services at any time for any or no reason. Soefia reserves the right to fully or partially discontinue, at any time and from time to time, temporarily or permanently, the Services or any part thereof with or without notice to your, and without any liability to you.
- Our Services are neither designed nor intended to screen for or identify potentially harmful, threatening, or malicious conduct, or statements made by users, during engagement, conversation, or collaboration, and the Services should not be relied upon as a tool for monitoring or flagging such activity. Users remain responsible for adhering to any applicable conduct or other guidelines regarding any such behavior or statements, including reporting to appropriate authorities or channels, as required.
Limitation of Liability and Indemnification
- WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, SOEFIA SHALL IN NO EVENT BE LIABLE IN RESPECT OF ANY MISREPRESENTATION, BREACH OF ANY IMPLIED OR EXPRESSED WARRANTY OR CONDITION, OR OTHERWISE BE LIABLE IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, FOR LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR GOODWILL, LOSS, DAMAGE TO OR CORRUPTION OF DATA, OR LOSS OF AVAILABILITY, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL LOSS, HOWEVER CAUSED, WHICH ARISES OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE UNDER THIS AGREEMENT. IN NO EVENT SHALL WE BE LIABLE UNDER THESE TERMS FOR ANY MONETARY DAMAGES EXCEEDING THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRIOR TO ANY CLAIM.
- To the maximum extent permitted by applicable law, you agree that any claim or cause of action arising out of or relating to these Terms must be filed within one (1) year after such claim or cause of action arose; otherwise, such claim or cause of action is permanently barred.
- You agree to indemnify, defend, and hold harmless Soefia, its affiliates, officers, and employees from any third-party claim, demand, liability, damages, costs, or expenses (including attorneys’ fees) arising out of your use of the Services or any content you provide to us or to the Services. In addition, you agree to indemnify, defend, and hold harmless Soefia from any claim, demand, or proceeding arising from (i) your violation of any law, including FERPA, COPPA, or student data privacy obligations; (ii) your misuse of the Services; (iii) your violation of these Terms; or (iv) any dispute between you and a third party relating to your use of the Services.
Force Majeure
Soefia shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in performance when and to the extent such failure or delay is caused by or results from acts beyond Soefia’s reasonable control, including, without limitation, acts of God, flood, fire, earthquake, epidemic, pandemic, explosion, governmental actions, war, terrorism, invasion, riot, civil unrest, labor disputes or strikes, supply chain disruptions, Internet or telecommunication outages, power failures, or other events beyond our reasonable control.
Termination
Soefia may suspend or terminate your access to the Services at any time for violation of these Terms or misuse of the platform.
Changes to Terms
We may update these Terms from time to time, with such changes being reflected at all times in the Terms available on our website at www.soefia.com. Continued use of the Services by you after such changes constitutes acceptance of the revised Terms.
Miscellaneous
- If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain effective and such invalidated part shall be interpreted consistently with the purpose and intent of the remaining valid portions of the Terms.
- These Terms are governed by the substantive and procedural laws of the State of Delaware. You agree to submit to the exclusive jurisdiction of, and venue in, the state and federal courts in Massachusetts in any dispute arising out of or relating to these Terms.
- You and Soefia agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. By using the Services, you expressly waive the right to a jury trial and the right to participate in a class action lawsuit in connection with any claim related to Soefia or your use of the Services.
